American International Industries, Inc. Announces that

the SEC HAS DECLARED THE registration statement of

brenham oil & gas Corp. effective

Houston & Kemah, Texas – May 17, 2011 American International Industries, Inc. (OTCBB and OTCQB: AMIN) ("American" or the "Company") today announced that the resale registration statement of Brenham Oil & Gas Corp. ("Brenham"), a majority-owned subsidiary, was declared effective by the SEC yesterday at 3:00 P.M. This registration statement registered 10,279,019 shares of Brenham common stock issued to American shareholders as a dividend on July 21, 2010.

Mr. Daniel Dror, Chairman and Chief Executive Officer of Brenham, stated that "with the registration statement being declared effective by the SEC, we are engaging a market maker to submit a FINRA application to initiate the process of having Brenham's shares becoming subject to quotation on the OTCBB. FINRA will designate a stock symbol to shares of Brenham common stock upon approval of the application."

Mr. Scott Gaille, President of Brenham, stated, "Brenham will seek to acquire a portfolio that includes lower risk development and production assets in the United States and higher risk, higher reward international exploration opportunities with an initial focus on Sub-Saharan Africa."
